ODEX™ TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

Welcome to ODEX™, the Off-Market Deal Exchange. By accessing or using the ODEX website, platform, or services (collectively, the “Platform”), you agree to comply with and be legally bound by these Terms of Service (“Terms”).

If you do not agree with these Terms, do not use ODEX.

2. PLATFORM OVERVIEW

ODEX™ is a technology platform and private online marketplace that allows real estate brokers, owners, and qualified buyers to publish, search, and engage with off-market commercial listings in a confidential, invitation-only environment.


ODEX is not a real estate broker, agent, or intermediary. We do not negotiate, represent, or close transactions on behalf of any party.

3. ELIGIBILITY

You must be:

  • At least 18 years of age
  • Legally authorized to enter into binding agreements
  • A verified user approved by the ODEX team

ODEX may reject or remove accounts at its sole discretion.

4. USER ACCOUNTS

Users are responsible for maintaining the security of their login credentials. You agree not to share your login with others and to notify us immediately if you suspect unauthorized access.

We reserve the right to:

  • Terminate or suspend accounts for any reason
  • Restrict access to certain features or listings
  • Change access permissions at any time

5. LISTINGS & CONTENT

Users are solely responsible for the accuracy of all listing information, documents, and media uploaded to the Platform. By submitting a listing, you confirm:

  • You are authorized to share the property
  • The information provided is accurate and legal
  • The listing complies with all applicable laws

ODEX reserves the right to remove or reject listings for any reason, including misleading content, policy violations, or complaints.

ODEX does not verify listings or perform due diligence. Use of the Platform is at your own risk.

6. FEES & REFUND POLICY

ODEX may charge subscription fees, listing fees, or access fees based on your selected user plan.

  • Brokers: First listing is free; upgrades require a license.
  • Sellers: Flat-fee listings are non-refundable.
  • Buyers: Some access tiers are free; premium tiers require approval or fees.

ODEX does not offer refunds unless otherwise explicitly stated in writing.

7. NDA REQUIREMENTS

All listings on ODEX require buyer users to accept a confidentiality agreement (NDA) before viewing sensitive deal information.

You agree to:

  • Keep all information confidential
  • Not use information to circumvent the platform
  • Not share materials with third parties without permission

Violation of the NDA may result in legal consequences and immediate removal from ODEX.

8. NO BROKERAGE REPRESENTATION

ODEX is a technology provider only. We do not offer real estate advice, close deals, or act as a broker for any party.

ODEX is not licensed as a real estate broker in any jurisdiction. All communications, negotiations, and transactions occur independently of ODEX.

You acknowledge and agree that:

  • No fiduciary or agency relationship exists between you and ODEX
  • You are solely responsible for your business decisions
  • You have been advised to consult legal or financial advisors

9. LIMITATION OF LIABILITY

ODEX shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of your use of the Platform, including:

  • Lost profits or deals
  • Inaccurate information
  • Platform downtime
  • Third-party misconduct

Use of the Platform is provided “as-is” and “as available.”

10. INDEMNIFICATION

You agree to indemnify and hold harmless ODEX, its officers, employees, and affiliates from any claims, damages, liabilities, or legal costs resulting from:

  • Your use of the Platform
  • Your listings or communications
  • Your violation of these Terms

11. INTELLECTUAL PROPERTY

All content on the ODEX Platform, including but not limited to branding, software, user interface, and proprietary processes, is the intellectual property of ODEX or its licensors.

Users may not copy, distribute, or repurpose ODEX content without express written permission.

12. MODIFICATIONS TO TERMS

ODEX reserves the right to update these Terms at any time. Material changes will be communicated via email or Platform notification.

Your continued use after changes are posted constitutes acceptance of the new Terms.

13. DISPUTE RESOLUTION & GOVERNING LAW

Any disputes shall be resolved through binding arbitration in North Carolina, under the rules of the American Arbitration Association. You waive the right to trial by jury.

These Terms are governed by the laws of the State of North Carolina.
